End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and Rite-A-Way CHB Inc ("Company", "we", "us") governing your access to and use of the Company's website, customer portal, and related software and services (collectively, the "Services"). By creating an account or using the Services, you agree to be bound by this Agreement.

1. License Grant

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes related to customs brokerage, freight, and trade compliance services provided by Company.

2. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at info@riteawaychb.com of any unauthorized use.

3. Acceptable Use

You agree not to:

• Use the Services in violation of any law, regulation, or third-party right.
• Upload malicious code, attempt to disrupt the Services, or probe for vulnerabilities.
• Reverse engineer, decompile, or attempt to derive source code of the Services, except to the extent permitted by law.
• Resell, sublicense, or provide the Services to third parties without our written consent.
• Submit false, misleading, or fraudulent customs or shipment information.

4. Third-Party Services (QuickBooks Online)

The Services may integrate with third-party platforms including Intuit QuickBooks Online. Your use of those platforms is governed by their own terms and privacy policies. You authorize us to access and exchange data with such platforms as necessary to provide the integration features you enable.

5. Customer Data

You retain all rights to data you submit to the Services ("Customer Data"). You grant Company a worldwide, non-exclusive license to use Customer Data solely to provide, maintain, and improve the Services and to comply with legal obligations. You represent that you have all rights necessary to submit Customer Data.

6. Fees

Customs brokerage and related professional services are billed pursuant to separately executed engagement terms or invoices. Access to the customer portal itself is provided at no additional charge to active Company clients.

7. Intellectual Property

The Services, including all software, design, text, and trademarks, are owned by Company or its licensors and are protected by intellectual property laws. No rights are granted other than the limited license expressly set forth in this Agreement.

8. Confidentiality

Each party shall protect the other's confidential information using at least the same degree of care it uses for its own confidential information and not less than a reasonable degree of care.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES. COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless Company from any claims, damages, and expenses arising out of your breach of this Agreement, your Customer Data, or your violation of any law or third-party right.

12. Termination

We may suspend or terminate your access to the Services at any time for breach of this Agreement or for any other reason in our reasonable discretion. Upon termination, your license to use the Services ends and you must cease all use.

13. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict of laws principles. Exclusive venue for any dispute shall lie in the state or federal courts located in Los Angeles County, California.

14. Changes

We may update this Agreement from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Agreement.
